Terms & Conditions

1. General Information

These Terms and Conditions (hereinafter "Terms") govern the legal relationship between PRO VERE LTD,

(hereinafter "the Company" or "we")
and the users of our website and services (hereinafter "Client" or "you").

By using this website or entering into communication with the Company, you agree to these Terms.
These Terms are governed by the laws of the Republic of Cyprus.

 

2. Scope of Services

PRO VERE LTD operates a digital platform that connects business owners who wish to sell their companies with potential buyers or investors.

The Company:

  • acts exclusively as an intermediary,

  • does not become a contracting party to any transaction between sellers and buyers,

  • does not provide financial, legal, or tax advice, and

  • does not guarantee the completion or success of any transaction.

The Company merely facilitates initial contact between interested parties.

 

3. Contract Formation

A contractual relationship between the Client and PRO VERE LTD arises only when an explicit written agreement or order confirmation is issued by the Company.
Any information provided on the website does not constitute a legally binding offer.

4. Fees and Payment

Where applicable, the Company’s remuneration and any applicable fees are specified in the individual agreement with the Client.

  • All prices are quoted in Euro (€) and exclusive of VAT unless otherwise stated.

  • Payments must be made within 14 days of the invoice date, unless otherwise agreed in writing.

  • In the event of late payment, statutory interest under Cypriot law may be charged.

 

5. Client Responsibilities

Clients using the Company’s services agree to:

  • provide accurate and complete information,

  • refrain from submitting unlawful or misleading data,

  • comply with applicable laws and regulations.

The Company reserves the right to refuse or discontinue services if information provided is found to be false or misleading.

6. Liability

The Company shall only be liable for damages caused by intentional misconduct or gross negligence.
Liability for minor negligence is excluded, except in cases of personal injury or mandatory statutory liability under Cypriot law.

The Company is not responsible for:

  • the content, accuracy, or legality of data provided by Clients,

  • the outcome of any business transaction initiated through its platform,

  • or damages arising from technical interruptions, delays, or data loss.

 

7. Data Protection

The processing of personal data is carried out in accordance with the EU General Data Protection Regulation (GDPR) and the Cypriot Data Protection Law 125(I)/2018.

8. Intellectual Property

All website content (texts, logos, images, structure, and design) is protected by copyright and related intellectual property rights under Cypriot and EU law.
Reproduction, distribution, or modification without the Company’s written consent is prohibited.

 

9. Termination

Both the Client and the Company may terminate the contractual relationship in writing with reasonable notice, unless otherwise agreed.
Outstanding payment obligations remain unaffected by such termination.

10. Governing Law and Jurisdiction

These Terms and any disputes arising out of or relating to them shall be governed by and construed in accordance with the laws of the Republic of Cyprus.

The District Court of Larnaca, Cyprus shall have exclusive jurisdiction, unless mandatory legal provisions stipulate otherwise.

 

11. Severability Clause

Should any provision of these Terms be invalid or unenforceable, the remaining provisions shall remain unaffected and continue in full force and effect.
An invalid clause shall be replaced by a valid one that most closely reflects the original economic intent.

12. Language

These Terms are written in English.
Translations are provided for convenience only.
In the event of discrepancies, the English version shall prevail.
